Corporate

For corporate advice, governance, incorporation and shareholder agreements, statutory compliance and more, look to the solicitors at Peter May McAuliffe Legal.   Mark McAuliffe has many years’ experience in advising companies and their office bearers upon their legal obligations and has undertaken specialist training in corporate governance.  Mark McAuliffe also has experience as a director of many private companies on behalf of clients and has sat on the board of a number of ASX listed companies and not for profit boards.

Corporate Advice

The statutory regime for the operation of companies in Australia is heavily regulated.

In addition to the provisions of the Corporations Act, there are numerous Court decisions that assist in interpreting the legislation and determining the conduct of companies.

At Peter May McAuliffe Legal we can advise our corporate clients and their office bearers and shareholders upon their statutory obligations and the appropriate operational procedures and legal requirements for companies.  Noncompliance can lead to serious losses for a company.  Significant fines can be imposed not only upon the company but also upon its office bearers.

Many office bearers overlook the personal risk that can arise if a corporation does not comply with its statutory obligations.  In some circumstances, such as whilst trading insolvent, or through the non-payment of various taxes, office bearers can be found personally responsible with devastating consequences.

Having a clear understanding of your rights following a clear explanation of relevant laws by Peter May McAuliffe Legal can assist you in avoiding such pitfalls.

Corporate Governance

Corporate governance is not mere compliance with strict statutory provisions.  There are established practices for the management of companies and the conduct of orderly meetings.  There are recommended practices to be followed by office bearers and employees of companies to minimise their risk in the management of a company.

These risks are not merely noncompliance with statutory provisions.  They are also commercial risks that relate to the operation of the business.  Having a clear understanding of appropriate corporate governance practices helps to maximise the opportunities for your business and its financial success.

At Peter May McAuliffe Legal we can assist you in understanding the appropriate practices and procedures that you should adopt to maximise these opportunities.

Directorships

Mark McAuliffe has been a director of companies for over 30 years.  These companies include small private family companies through to larger private companies and publicly listed companies.  This experience extends to directorships of companies operating in other jurisdictions such as Hong Kong and Vietnam.

Mark has also been an advisor to companies with interests in Europe, South East Asia and Africa.  Mark continues to hold advisory positions for companies operating in Europe.

In appropriate cases, Mark will accept the appointment to the board of companies and not for profit organisations.  Mark’s board experience includes appointments as Executive Chairman, Executive Director, Non-Executive Director and Chairman of audit committees, compliance committees, remuneration committees and general management of other board subcommittees.
